These General Terms and Conditions of Sale (“Terms”) govern the use of products and services provided by Milo (“Company”, “we”, “us”) through the website milosubscriptions.com (“Website”). By placing an order or downloading our software, you (“Customer”, “you”) agree to these Terms.
These Terms, together with your order confirmation and our Privacy Policy, form the complete agreement between you and Milo.
1. Description of Products and Services
1.1 Free Plugin
Milo Subscriptions is a free WordPress plugin licensed under the GNU General Public License v2 (GPL v2). It can be downloaded from WordPress.org or from our Website without charge. The free plugin includes core subscription management features for WooCommerce.
1.2 Payment Gateway
Milo Payments is a free companion plugin that provides payment gateway integrations (Stripe, PayPal, Mollie, Square). It is distributed at no cost through our Website.
1.3 Paid Add-ons
We offer premium add-ons that extend the functionality of the free plugin. Each paid add-on requires a valid license key. A license key grants you:
- Installation and activation on the number of sites specified by your license tier (1, 5, or unlimited sites)
- Access to plugin updates for the duration of your license
- Access to email support for the duration of your license
1.4 Technical Environment
You are responsible for ensuring your hosting environment meets the minimum requirements for our plugins (WordPress 6.4+, WooCommerce 8.0+, PHP 7.4+). We cannot guarantee compatibility with every WordPress theme, plugin, or server configuration.
1.5 No Data Processing
Our plugins run entirely on your WordPress installation. We do not process, store, or have access to your customers’ data. You are the sole data controller for all data managed through our plugins on your site.
2. Orders and Payment
2.1 Order Process
To purchase a paid add-on, select your product and license tier, provide your billing information, accept these Terms, and complete payment. You will receive an order confirmation email with your license key(s).
2.2 Prices
All prices are listed in USD, exclusive of applicable taxes. VAT or sales tax may be added based on your location, as required by law. Prices are subject to change, but any price change will not affect active, already-paid license periods.
2.3 Payment Methods
We accept payment via credit/debit card and PayPal. Full payment is due at the time of purchase.
3. License Terms
3.1 License Grant
Paid add-ons are licensed under GPL v2. Upon purchase, you receive a license key that grants access to updates and support for the license period (12 months unless otherwise specified).
3.2 License Scope
Your license key may be used on the number of WordPress installations specified by your license tier. You may install add-ons on your own sites and on sites you manage for direct clients. Sharing, redistributing, or reselling license keys is prohibited.
3.3 Post-Expiration
When your license expires, the plugin continues to function on your site. However, you will no longer receive updates or support until you renew. We strongly recommend keeping licenses active for security updates and compatibility patches.
3.4 Agency Use
If you are an agency or freelancer installing our add-ons on client sites, you may do so under your license. You must deactivate and remove your license key from a client’s site if your professional relationship with that client ends.
4. Subscription and Renewal
4.1 License Period
Paid add-on licenses are valid for 12 months from the date of purchase, unless a different period is specified (e.g., lifetime licenses).
4.2 Automatic Renewal
Licenses renew automatically at the end of each license period at the then-current renewal price. We will send a reminder email at least 30 days before your renewal date.
4.3 Cancellation
You may cancel auto-renewal at any time through your account on our Website or by contacting us by email. Cancellation stops future charges but does not entitle you to a refund for the current period. Your access to updates and support continues until the end of the current paid period.
4.4 Lifetime Licenses
If we offer lifetime licenses for specific products, we commit to providing updates and support for as long as we commercially distribute the product. If we discontinue a product, we will provide at least 6 months’ advance notice and deliver a final version of the plugin.
5. Refund Policy
5.1 14-Day Refund Period
We offer a 30-day, no-questions-asked refund period from the date of purchase. If you are not satisfied with your purchase, contact us within 30 days and we will issue a full refund.
5.2 Refund Method
Refunds are processed using the original payment method. Please allow 5 to 10 business days for the refund to appear on your statement.
5.3 Post-Refund
Upon refund, your license key will be deactivated. You may continue using the plugin code (per GPL v2), but you will no longer have access to updates or support.
5.4 Exclusions
Refund requests made after the 30-day period will be evaluated on a case-by-case basis. We reserve the right to deny refunds for abuse of the refund policy (e.g., repeated purchases and refunds of the same product).
6. Support
6.1 Scope
Support is available to customers with an active paid license. Support covers questions about plugin installation, configuration, and usage. We respond to support requests within 2 business days (Monday to Friday).
6.2 Limitations
Support does not cover: custom development, third-party plugin conflicts, server or hosting configuration, or general WordPress/WooCommerce troubleshooting unrelated to our plugins.
6.3 Free Plugin Support
The free Milo Subscriptions plugin is supported through the WordPress.org support forums on a best-effort basis. Priority support is reserved for paid license holders.
7. Intellectual Property
7.1 GPL License
All our plugins are released under the GNU General Public License v2 or later. You may use, modify, and redistribute the plugin code in accordance with the GPL.
7.2 Supplementary Conditions
The license key, update delivery system, and support access are supplementary services not covered by the GPL. These services are provided only to customers with a valid, active license.
7.3 Trademarks
“Milo Subscriptions”, “Milo Payments”, the Milo Subscriptions logo, and the Milo logo are trademarks of Milo. You may not use our trademarks in a way that suggests endorsement or affiliation without written permission.
8. Your Obligations
You are responsible for:
- Maintaining the security of your WordPress installation (hosting, updates, backups, SSL, access control)
- Ensuring lawful use of our plugins
- Any content created or managed through our plugins
- Complying with applicable data protection regulations (GDPR, CCPA, etc.) for data you collect through your WooCommerce store
9. Limitation of Liability
9.1 No Warranty
To the maximum extent permitted by law, our plugins are provided “as is” without warranty of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.2 Limitation
We are not liable for: data loss, revenue loss, business interruption, or any indirect, incidental, or consequential damages arising from the use of our plugins. Our total liability for any claim is limited to the amount you paid for the specific product giving rise to the claim.
9.3 Exceptions
Nothing in these Terms limits our liability for fraud, willful misconduct, or any liability that cannot be excluded by applicable law.
10. Modifications
We may update these Terms from time to time. Material changes will be communicated via email or a notice on our Website at least 30 days before they take effect. Continued use of our products and services after the effective date constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of Rennes juridisction. Any disputes arising from or relating to these Terms will be resolved in the courts of Rennes juridisction, except where mandatory consumer protection laws require otherwise.
